Preferred Stock Essay Preferred stock is a security that, similar to debt, promises a well-defined (specified) but not necessarily constant contractual cash flow (dividend) to the holders of the security. Unlike debt, it does not cause the firm to be subject to bankruptcy if the dividends are not paid. The term preferred stock implies that this security is in a more favorable position than the common stock. This conclusion is not likely to be valid for an individual investor paying taxes at a high rate on dividends. A corporate investor might like preferred stock because of a70%â€Å"dividend-received deduction†. The corporate tax savings associated with interest on debt make it difficult for preferred stock to compete with debt in the non-regulated sector of corporate activity. Also, the capital gains and tax deferred possibilities for individual investors of common stock give common stock tax advantages over preferred stock with a contractual dividend and little chance of capital gains. Preferred stock has historically been important to regulated public utilities, and it is likely to be approximately 10 percent of a typical public utility’s capital structure. Preferred stock is a hybrid form of capital, possessing a mixture of debt and common stock characteristics. Like the interest on debt, its dividends may be fixed over time. However, â€Å"participating† preferred stock shares income with common stock according to some prearranged formula and other preferred stock may pay a dividend that is linked to some independent measure such as the yield on government bonds. Like common stock, preferred stock is generally treated as equity capital for corporate tax purposes, so its dividends are paid from corporate earnings that have been taxed. Preferred stock generally has a perpetual life, although it may have a finite life, and it may have a call price specified and even a sinking fund where stock is to be repurchased by the firm in the open market. It is important to the issuing firm and to the investor that nonpayment of the preferred stock dividend does not trigger bankruptcy. Normally, common stock dividends cannot be paid until all past due preferred dividends have been paid or the preferred stockholders have been compensated by some other means. Preferred stock dividends have to be approved by the board of directors before they become a legal liability of the corporation. Preferred stock generally does not have voting rights, but if a preferred stock dividend is passed over, the preferred stockholders sometimes have the right to select one or more members of the board of directors. Although the dividends on some preferred stock are allowed as a tax deduction, currently in the United States dividends of preferred stock are not normally deductible for taxes by a corporation. This tends to limit the use of preferred stock by corporations.

The Meaning of Fahrenheit 451 Â   This book depicts a story about a futuristic world in the middle of a nuclear war. The government of this future forbids its people from reading or taking a part in individual thinking. During this time, the law against reading is new and the government is taken on a task of destroying all of the books. This is where we meet or main character named Guy Montag. He is a fireman. Him and his crew go around and burn books in libraries, and homes. Â   Â  I think the theme of the story is that there are many facets to a personality than is first visible. The book is narrated in third person. At the beginning of the book we see Guy Montag as a ruthless man who enjoys his job very much. Later on he discovers that he does not enjoy his life, it is merely a fake mask. He slowly discovers this in himself when he meets a teenage girl named Clarisse who is his new neighbor. She awakens a love and desire in Montag to enjoy the simple things in life. He also discovers that his happiness is fake when he discovers that he does not love his tranquilizer addicted wife who cares more about her television relatives than real life. Guy Montag slowly becomes unhappy with his life when he learns of Clarisse's death in an automobile accident and when he had to bun an old lady alive in her house because she refused to let them burn her books. Â   When we discover that Guy Montag is unhappy with his life, we start to respect that he is trying to change his way of life. When Montag goes to talk to his wife about the disadvantages about being a fireman, she offers no sympathy and tells him to stay away from her because all she knows is that books are unlawful. After awhile, Captain Beatty has a talk with Montag because he is suspicious of Montag's behavior. He tells Montag that the ideas in books are not real and they cause a dispute in people's minds. He says that ridding the world of controversy puts an end to dispute and allows people to live happy. Later on, Montag confesses that he had not just stolen one book but yet a small library.

Handicaps and Special Needs people are those who are not considered â€Å"normal† because of their physical (blindness), mental (mental retardation), motor (unable to walk properly) or Auditory Perception Disability (â€Å"difficulty distinguishing subtle differences in shapes, reversing letters like â€Å"d† and â€Å"b† or â€Å"p and â€Å"q†, or confusing â€Å"E† and â€Å"3. â€Å"). Disability can be mild or severe. Because of their disabilities they may be unable to perform tasks, even simple routine ones like eating, walking or taking a bath without assistance from others. Assistance may be in the form of help extended like when a sibling will help a blind brother reach certain destination by holding his hand or in the form of modification to accommodate their disability like schools for mentally retarded children were specially designed in a manner that mentally impaired person are able to grasp certain lessons. Disabilities may be acquired at birth or certain period of life when they meet accidents or developed illness. This essay will discuss on three examples of handicapped and special needs. One example of handicap as cited above is blindness (physical disability). Blindness of course means that a person is unable to see. It is much easier to guide and assists a person who is not blind from birth. By then he already knows a lot of things, he knew the color red or how a tree looks or he can distinguish a cow from a lion without the necessity of touching. He can easily roam around the house or other familiar places without any assistance. For a blind person at birth, on the other hand, it may be difficult at first because they had never seen the things around them so they do not have any mental picture. For them, touching, listening and tasting are essential for learning (â€Å"Blindness† 1995). He never knew what circle is before so his hands need to touch a circle. In the case of Helen Keller, the famous blind woman, Anne Sullivan taught her what water was by letting water run down to her hands. To help them learn alphabet, Braille was invented wherein the letters were represented in the form of dots. With patience and perseverance however, a blind person, even those born blind, are able to live and enjoy a normal life with minimum assistance from others. An example of people with special needs is the autistic (learning disability). Medical experts classify Autism as a developmental disorder caused by the defective functioning of the brain. This disorder is characterized by failure to interact socially (do not play with other kids), failure in the use of language (inability to learn to talk) and engaging in repetitive and obsessive behaviors (playing with a certain toy for hours or constant twirling and turning). Autistic persons have limited interests and activities and they usually unable to understand emotional signals like anger or sadness and they do not respond when their names are called. If parents are observant they can detect that their child is autistic even as young as 18 months. Their early warning signs are their inability to make eye contact or respond to cooing appropriately like most babies do. Other signs that a child is autistic are: repetition of certain words or phrases when they are frightened or disturbed, pulling of their hair to mean that they are hurt or withdrawal from interaction with others, even with parents; they prefer to be alone and to â€Å"create their own world†, whatever that may be (â€Å"Pervasive† 2007). Parents of these children needs to be educated how to respond properly to this children and therapy and speech instructions are often recommended for an autistic person. Specialized schools are also available for them. A third example of handicapped is motor disability due to inability to use certain muscle groups resulting to difficulty in walking, running or climbing (motor disability). This may be a mild from of disability and wherein muscle therapy or medication is needed to cure the problem (An Introduction† p. 2). The aim of any normal person is to make living and working accessible for these types of people so that they also will be afforded opportunities for normal living.
